1. Nominee Shareholder Service

The Law Firm provides a professional individual or corporate entity to registered as the legal owner of shares in a Vietnamese company on behalf of the Beneficial Owner (the actual investor).

Purpose: To satisfy local equity requirements in conditional business sectors where foreign ownership is restricted.
Protection: The relationship is governed by a Nominee Shareholder Agreement and a Declaration of Trust, ensuring that all financial benefits, voting rights, and disposal rights remain with the Beneficial Owner.

2. Nominee Director Service

The Law Firm appoints a qualified local resident to act as the legal representative (Director) of the enterprise.

Purpose: To fulfill the legal requirement that a Vietnamese company must have at least one resident legal representative at all times.
Compliance: The Nominee Director acts under the strict instructions of the investor, handling administrative filings and statutory compliance without interfering in daily commercial operations.

3. Key Legal Instruments for Asset Protection

To mitigate risks for the foreign investor, the following documents are typically executed:

Call Option Agreement: Giving the investor the absolute right to purchase the shares at any time for a nominal fee.
Undated Resignation Letter: Signed in advance by the Nominee Director to allow for immediate replacement if necessary.
Power of Attorney (PoA): Granting the investor full control over the company’s bank accounts and operational decisions.
