Once the license has been issued, the company can then begin trading. In general, small business formation involves first setting up a 100% Vietnamese owned company with 2 Vietnamese directors. Step 1- Ensure you have the following pre-requisites
A registered address for your company
A minimum of USD 1800 as a startup capital
A resident director (does not have to be a Vietnamese official, simply must hold Vietnamese residency)
A completed and signed Articles of Association
A passport copies and details of the company founder
Step 2- File for an application of an Investment License
The Investment Registration Certificate needs to be filed for and obtained from the Department of Planning and Investment (DPI). This may take up to 25 business days to be issued.
Step 3- File for an application for a Business Registration Certificate
In order to obtain this certificate, make sure to apply to the DPI. This will be issued in less than 7 business days.
Step 4- Tax Registration
After you receive your Business Registration Certificate, you may file for tax registration. Keep in mind that you must submit this application within 30 days or you license will be revoked.
Step 5- Contribution of Capital
The final step to having your company registered is to make the initial contribution of capital, this has to be done within 90 days or you will have your license revoked.

Foreign investors set up a foreign company in Vietnam often bear some of the costs as follows:
